Terms and Conditions Governing the Agbioinvestor's Online Products and Services
Agbioinvestor's online services are a suite of products and services operated by Phil Mac Associates, trading as Agbioinvestor ("us", "we", "our" and "Agbioinvestor").
Before accessing or subscribing to any online services provided by Agbioinvestor, you should read the following terms and conditions (the "Terms”).
Please note, Agbioinvestor reserve the right from time to time to alter these Terms and as a result, you should review these Terms often. By accessing our online services you acknowledge you have read these Terms of use, which together with our privacy policy govern our relationship with you in relation to our online services. If you disagree with any part of these Terms, please do not use our websites and agree to be bound by them.
Nature of the Online Services
Agbioinvestor’s online services consist of a private subscription service and public accessible webpages that provide news and information on the crop protection, biotechnology, and related agricultural industries (the "online services").
The information provided by Agbioinvestor on the online services is for the sole use of those who visit the online services and is intended only for research and information purposes by users. The content provided by Agbioinvestor is NOT designed for or intended for investment or legal advice and should NOT be used as the basis for investment decisions, financial transactions or trading purposes.
Public Access Webpages
The content of this webpage is for user's general information and use only, and is subject to change without notice. Your use of any information or materials on this webpage is entirely at their own risk, for which Agbioinvestor shall not be liable and it shall be a user's own responsibility to ensure that any products, services or information available through this webpage meets their specific requirements. The content contained on this webpage remains the property of Agbioinvestor and its licensors. The webpage contains material which is owned by or licensed to Agbioinvestor and this material includes, but is not limited to, the content, the design, layout, look, appearance and graphics. Reproduction is prohibited other than in accordance with the copyright notice, which forms part of these terms and conditions.
Private Subscription Access Websites
Subscription Process
Upon selecting the service that you wish to subscribe to you agree to be bound by these Terms and will be sent a subscription form that must be fully completed and signed by the Authorised Person. All fields on the Form are mandatory. Inserting information into the form that is not relevant to you or your organisation will be viewed as a breach of these Terms. Only when you are absolutely satisfied that the information you have supplied on the Form is relevant and correct should you click the “submit” button. On submission of the Form, the information will then be sent to Agbioinvestor. The suitability of you (the Client) for an Agbioinvestor subscription will then be judged by Agbioinvestor staff, using the information we receive in the submitted form. Acceptance of you as a subscriber is entirely at the discretion of Agbioinvestor.
Should you choose to purchase an annual subscription, on acceptance you will subsequently be provided with subscription terms and access details that you will be bound by and will enable you to obtain access to Agbioinvestor’s private subscriber's website where Database and Reporting materials can be found.
As a subscriber you agree to be bound by the above noted public access terms and furthermore that you will:
- be bound by the terms of your subscription;
- be the only user of this website through your individual user name and password;
- not allow other individuals to access Agbioinvestor’s website through your user name and password;
- be restricted to the subscriber area of the site;
- not publish, post, distribute, disseminate to any third party or include in any other part of the World Wide Web (internet), any of Agbioinvestor’s content, data, products and services without our permission;
- not set up links on any other website to Agbioinvestor’s content, data, products and services without our permission.
By virtue of the paid subscription fee, the user is granted a non-exclusive perpetual right to use the Database and Reporting materials internally. The user is not restricted in its use of the Database and Reporting materials for research and information purposes, but should not reproduce the Database and/or Reporting materials, or any substantial part thereof, which is not permitted. The transfer of the Database and Reporting materials in any part or form to third parties without prior written approval by Agbioinvestor or its licensors is also not permitted.
Authority and Confidentiality
Agbioinvestor is entitled to assume that any signatory to any contract, subscription form or order form has the authority to enter into a contract for subscription on behalf of a client company, or has been authorised by a director or senior executive of a company (the "Authorised Person") to do so.
While the content may be communicated internally within the client company, it is expressly forbidden for any data contained within the Agbioinvestor online services or any part thereof to be posted on the Internet or passed to a third party without the written permission of Agbioinvestor.
The data and analysis presented by Agbioinvestor, all its constituent parts and any additional information supplied as part of the online services is covered by Copyright (see further details below) and may not be copied or passed on to any persons outside the client company and only limited printing of the sections contained within the online services is allowed for internal communications within the client company.
Site Abuse
Any user found to be abusing the online services in any way, will be warned and at Agbioinvestor's discretion, have their subscription terminated immediately.
Site Operations and Continuity of Service
Agbioinvestor operated from its offices in Scotland. From time to time access to our websites, products or services may be restricted due to technical maintenance, however we do try and keep these incidents to a minimum. Agbioinvestor will use all reasonable efforts to ensure products, services and communications are free from computer viruses and other forms of malicious computer software coding, nevertheless it is your sole responsibility to ensure that you have appropriate antivirus software installed on your computer prior to accessing the site and Agbioinvestor will not be liable for any error, fault or malfunction out with its control.
Product Updating
The online services provided by Agbioinvestor are intended to provide a dynamic business intelligence service for the agricultural based industries indicated above, and our products and related services will be subject to constant modification. As such, Agbioinvestor retains the right to alter the online services without notice.
Liability
Agbioinvestor’s online services are provided for research and information purposes only. By using the products and services users and subscribers to the online services agree that they acknowledge that information contained within Agbioinvestor products and services are for research and information purposes only and agree that it is their sole responsibility to ensure that the information is used for these purposes only. Agbioinvestor’s products and services are designed to provide news, information and commentary on the crop protection, seed, and plant biotechnology industries; however Agbioinvestor’s products and services do not provide specific investment or legal advice. In addition, while Agbioinvestor has undertaken all reasonable steps to ensure that the information contained in Agbioinvestor’s products, services and correspondence is accurate, accuracy of the information within Agbioinvestor’s products and services is not warranted. Therefore, YOU AGREE AND HEREBY ACKNOWLEDGE WITH REGARD TO THE ACCURACY OF ANY OF THE CONTENT WITHIN ANY PRODUCT OR SERVICE SUPPLIED BY AGBIOINVESTOR AND ANY ASSOCIATED CORRESPONDENCE OR NOTIFICATIONS, THAT THE INFORMATION PROVIDED BY AGBIOINVESTOR IS SUPPLIED WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
Agbioinvestor and its owners, collaborating partners, licensors, agents and employees are not, and cannot be held, liable for the use of and reliance of the opinions, estimates, forecasts and findings in any of the online services provided by Agbioinvestor. No member of Agbioinvestor, including its owners, licensors, collaborating partners, agents and employees are liable to the users and/or subscriber or to any third party or subject to any claim from the users and/or subscriber or any third party in connection with any loss or liability directly or indirectly arising from the use of the content within Agbioinvestor’s products, services, correspondence or emails. If you are dissatisfied with any of the online services you agree that your only remedy is to immediately discontinue accessing Agbioinvestor products and services, and notify Agbioinvestor accordingly.
Proprietary Rights
All of Agbioinvestor’s online services and their content are protected by international copyright. You may not copy, regularly download or store on a computer any of the content with the intention of forming a database, publication, report or a website for third party use without our permission. No trademarks and/or company logos contained on any of Agbioinvestor’s products and services, including those of Agbioinvestor, should be copied without permission of Agbioinvestor or the logo owner.
Indemnification
You agree to indemnify and hold harmless Agbioinvestor and all of its owners, collaborating partners, licensors, agents and employees from and against all liabilities, costs, damages and legal fees which are incurred by you as a result of any claim or expense arising from any breach of these Terms by you or any individual using your registered username and password, or any use you may make of the products and services offered by Agbioinvestor.
Third Party Web Sites and Products
Agbioinvestor does not guarantee the accuracy or security of any information within third party websites that are provided by links within the online services. In addition, the inclusion of any company, product, brand, goods or services from third parties does not imply their endorsement.
Governing Law
These Terms are governed by Scots and the user or subscriber irrevocably agrees to the jurisdiction of the Scottish Courts in connection with any matter arising from of them.
Information Management
We will use any personal data collected during your use of the online services in accordance with our data policy.
